Terms of Service
Version 1.0 · Effective October 1, 2026
Draft for legal review. Highlighted items are still to be supplied.
These Terms of Service (the “Terms”) apply to Curio’s products and services, provided by RevRocket LLC, a Wyoming limited liability company, operating under the Curio brand (“Curio”, “we”, “us”). Curio is a brand of RevRocket LLC, not a separate company. “Customer” or “you” means the business or organization named in an Order Form.
1. How the agreement works
- Order Form. Your plan, fees, subscription term, implementation scope and any agreed custom work are set out in an order form signed by you and us (the “Order Form”). The Order Form incorporates these Terms by reference and names the version and effective date that apply.
- Acceptance. You accept these Terms for a paid subscription by electronically signing an Order Form. Browsing this website, or submitting a form on it, does not create a paid subscription or any obligation to pay. Accepting these Terms when you submit a form on the website applies only to your use of the website and the application process.
- Order of precedence. If the signed Order Form conflicts with these Terms, the Order Form controls for the specific subject it addresses. A Statement of Work signed for additional work controls for the work it describes.
- The person signing an Order Form confirms they are authorized to bind the customer.
For legal review: whether accepting the Terms on website forms should remain, given that paid acceptance happens through the Order Form
2. Services and plans
Curio is a managed mobile publishing platform for news organizations. Our standard plans are:
- Curio Publish: a branded iOS and Android app with standardized configuration, branding and integrations, predetermined layouts and supported content placements. Bespoke feature development is not included. Standard implementation is $1,995; the subscription is $650 per month.
- Curio Newsroom Pro: everything in Curio Publish, plus advanced advertising capabilities, Special Coverage, access to applicable Curio Intelligence features such as article idea generation, and enhanced configuration and integration options, including custom plugin adapters and CMS integrations where agreed in scope. Implementation starts at $3,995, with the exact amount stated in your Order Form; the subscription is $895 per month.
Custom integrations, adapters and development are not unlimited or automatically included in any plan. Work outside the agreed scope may require a separate Statement of Work, fee and schedule. Your signed Order Form sets your actual prices and purchased scope.
Features we describe as in development are not part of the services until we make them available to you. Curio Intelligence produces suggestions and drafts for your editors to review; you decide what to publish.
3. Subscription term
- The initial subscription term is 12 months.
- The implementation period comes before, and is separate from, the subscription term. The subscription term normally begins on the production launch date. Your Order Form states the anticipated launch date and, once known, the subscription commencement date.
- If your app is ready for submission or launch but the launch is delayed because you haven’t provided required materials, credentials, approvals or cooperation, we may set a subscription commencement date by giving you reasonable written notice. Subscription billing can’t be postponed indefinitely because of customer-caused delays.
For legal review: the delay threshold and notice mechanism before Curio may set a commencement date
4. Automatic renewal
After the initial 12-month term, your subscription renews automatically for successive 12-month terms unless either party gives written notice of non-renewal at least 30 days before the end of the current term. Subscriptions continue to be billed monthly during renewal terms. We will give at least 60 days’ written notice of any price change for a renewal term.
For legal review: jurisdiction-specific automatic renewal disclosures, reminders and cancellation requirements, and the price-change notice provision
5. Implementation fees
Implementation covers onboarding, branding, configuration, integration, testing and preparation for deployment within the scope set out in your Order Form. Implementation fees are payable:
- 50% when the Order Form is signed, and
- 50% when we complete the agreed implementation work and your app is ready for submission to the app stores.
The second payment does not depend on Apple or Google approving or publishing the app. We don’t guarantee app-store approval or an approval date.
Fees for work already performed are generally non-refundable, subject to applicable law, our material breach, and any cancellation rights expressly agreed in your Order Form.
For legal review: refunds or credits for unperformed implementation work, and the customer-delay billing provision
6. Subscription billing and payments
- Subscriptions are billed monthly in advance. Payment is due at the beginning of each billing period unless your Order Form says otherwise.
- ACH bank transfer is our preferred payment method and carries no additional Curio processing fee.
- You may also pay by credit card or another approved payment processor. Where the law and payment network rules allow, you are responsible for the transaction processing fees for these methods. Any processing fee will be disclosed before you authorize payment, reflects the actual permitted processing cost, and is not a tax. Where passing on processing fees is prohibited or restricted, we will follow the applicable rules.
- Recurring automatic payments are used only where you have authorized them.
- If a payment is overdue, a grace period of 10 calendar days applies. If payment remains outstanding after that, we may suspend the services after giving you written notice and a reasonable opportunity to pay.
- We don’t charge late fees automatically. Interest or collection costs apply only if expressly agreed in your Order Form and permitted by law.
- All prices exclude applicable sales, use, value added or similar taxes. We calculate and collect taxes where we are legally required to.
For legal review: passing card and processor fees to business customers under US state law, EU and Portuguese rules and card network requirements; payment authorization, suspension and collection rules; VAT, US sales tax and invoicing requirements
7. Plan changes
- You may ask to upgrade during your subscription term. Upgrades take effect on an agreed date, with prorated billing.
- Downgrades normally take effect at the next annual renewal unless we agree otherwise in writing. Removing features may require app updates, reconfiguration or changes to integrations.
- Custom development and non-standard integration work require a written scope and any applicable additional fees.
8. Apple and Google developer accounts
- You establish and maintain your own Apple Developer Program account and Google Play Console developer account, and pay the applicable membership fees, complete account verification and comply with the store agreements.
- You give us the permissions needed to configure, build, submit, update and maintain your apps. We don’t acquire ownership of your developer accounts.
- Apple and Google independently control app review, approval, rejection, removal and store policies. We don’t guarantee acceptance or continued availability in either store.
- You agree to cooperate with account verification, app signing, compliance requests and store-related approvals.
9. Support and maintenance
Support is available Monday to Friday, 9:00 to 17:00 Portugal mainland time (Europe/Lisbon), excluding Portuguese public holidays, through our support email ([email protected]) or ticketing channel. Our target initial response times are:
- Critical service outage: within 4 business hours. A critical outage is a material failure of Curio-controlled production functionality that affects your ability to deliver or display content.
- Major functional issue: within 1 business day.
- Routine request: within 2 business days.
These are response targets, not guaranteed resolution times. We use commercially reasonable efforts to maintain and restore the services, and we may carry out scheduled maintenance, giving reasonable notice when practical. We don’t offer a guaranteed uptime percentage or service credits unless separately agreed in writing.
Support commitments don’t cover failures caused solely by your hosting, third-party plugins, external services, the app stores or other infrastructure outside our control. We remain responsible for diagnosing and addressing failures in our own software and in the integrations we agreed to provide.
10. Your responsibilities
You are responsible for:
- maintaining your WordPress website or other supported CMS, with compatible hosting and supported software versions
- providing accurate credentials and the access we need
- supplying authorized content, logos, images and brand assets, and holding the necessary publication and intellectual property rights
- maintaining your developer accounts
- complying with the publishing, privacy and content laws that apply to you, including giving your readers the privacy information and obtaining the consents the law requires
- cooperating with testing, approval and deployment
You are responsible for your content and editorial decisions. Except to the extent required by law, we are not responsible for the accuracy, legality or editorial decisions associated with content you supply.
11. Intellectual property and licence
Curio is a licensed, managed software platform. You don’t purchase or acquire ownership of our software. RevRocket LLC retains ownership of its proprietary technology, including:
- the core mobile application source code and its Ionic, Angular and Capacitor application architecture
- Curio WordPress plugins and platform components
- reusable templates, interface components, integration frameworks and adapters
- Curio Intelligence technology
- general-purpose improvements, enhancements and platform developments
Custom development for your publication also remains ours unless a signed agreement expressly says otherwise. We keep your configuration and data distinguishable from our proprietary software.
You keep ownership of, or your existing rights in, your content, trademarks, logos, images and other materials. You grant us the rights needed to reproduce, process, display and distribute them to deliver the services.
During an active subscription, you receive a limited, non-exclusive, non-transferable licence to use the applicable Curio software. The licence ends when the agreement ends, subject to any separately agreed transition rights. We don’t provide source code or perpetual usage rights.
For legal review: intellectual property licensing, reusable custom integrations and customer data portability
12. Confidentiality
Each party will protect the other’s confidential business and technical information with at least reasonable care, use it only for the agreement, and share it only with people who need it and are bound by similar obligations. This doesn’t apply to information that is public, already known, independently developed or received lawfully from someone else, or that must be disclosed by law.
13. Data protection and security
We process customer information and app-related user data as necessary to deliver the services. Whether we act as a processor on your behalf or as a controller depends on the processing activity. Where we process personal data on your behalf, a separate data processing agreement will set out:
- our confidentiality obligations and access controls
- reasonable technical and organizational security safeguards
- how and when we notify you of a security incident
- our use of subprocessors
- international data transfers and the safeguards that apply
- data retention, return and deletion
For legal review: controller and processor roles, the data processing agreement, subprocessors, international transfers and Portuguese and EU compliance
14. Warranties and disclaimers
We will provide the services with reasonable skill and care. To the extent the law allows, we don’t give any other warranty, and we don’t guarantee uninterrupted operation, specific commercial results, traffic, readership, subscription or advertising revenue, or app-store acceptance.
15. Limitation of liability
- To the extent the law allows, neither party is liable for indirect, incidental, consequential, special or punitive damages, or for lost profits.
- Each party’s total liability arising out of or relating to the agreement is limited to the total subscription and implementation fees paid or payable under the agreement in the 12 months before the event giving rise to the claim.
- These limits don’t apply to liability that cannot be limited by law.
For legal review: the cap, the exclusions, indemnification, and exceptions for fraud and wilful misconduct, unpaid fees, intellectual property infringement, confidentiality, data protection and security obligations, and other non-excludable liabilities
16. Cancellation and termination
- You can prevent renewal by giving written notice at least 30 days before the end of the current annual term.
- If you end the agreement early for convenience, the remaining committed subscription fees for the current term become payable. There is no additional termination penalty.
- Either party may terminate for the other’s material breach if the breach isn’t cured within 30 days of written notice. If you terminate because of our uncured material breach, you don’t owe the remaining committed fees.
- We may suspend or terminate the services for serious security threats, unlawful use or persistent non-payment, with notice as appropriate and as the law requires.
- Rights that by their nature should survive the end of the agreement, such as payment of amounts due, confidentiality, intellectual property and limitation of liability, continue to apply.
For legal review: enforceability of annual commitments, accelerated subscription fees and cancellation provisions
17. When the agreement ends
- Our hosting, integration, maintenance, update and support obligations end, and your licence to Curio software ends unless otherwise agreed.
- You keep your content, branding and developer accounts.
- You have 30 days to export the customer-owned data available to you. Your access to personal data the law entitles you or your readers to is not conditional on payment.
- We may deactivate our proprietary software and connected services. Your app may stop working after the licence ends, and we will coordinate removal or replacement of the app in the stores with you where possible.
- We don’t automatically provide source code or a standalone replacement app. App replacement, migration and other transition assistance can be scoped and billed separately.
- After the export period we delete customer data, except backups kept for a limited period in our normal backup cycle and data we must keep by law. backup retention period
18. Governing law and disputes
- Proposed: these Terms and each Order Form are governed by the laws of the State of Wyoming, United States.
- Before starting formal proceedings, the parties will try in good faith to resolve a dispute by negotiation for 30 days.
- Proposed: the state or federal courts located in Wyoming have jurisdiction, without preventing either party from seeking urgent injunctive relief where legally appropriate.
- Nothing in this section removes protections that cannot be waived under the law that applies to you.
For legal review: governing law, forum selection and cross-border enforcement for customers in the EU and US; not final
19. General
- We may update these Terms. Changes apply to a customer’s current term only if the customer agrees; otherwise they apply from the next renewal, with at least 30 days’ notice. Each version shows its number and effective date.
- Notices must be in writing and sent to the addresses in the Order Form, or to us at the contact details below.
- Neither party is responsible for delays caused by events beyond its reasonable control.
- You may not transfer the agreement without our written consent. We may transfer it as part of a reorganization or sale of our business.
- If any provision is unenforceable, the rest remains in effect. The Order Form, these Terms and any Statement of Work are the entire agreement on their subject.
